This filing relates to the proposed merger involving NavSight Holdings, Inc. with Spire Global, Inc. pursuant to the terms of that certain Business Combination Agreement, dated as of February 28, 2021, by and among NavSight Holdings, inc. (“NavSight”), NavSight Merger Sub Inc. and Spire Global, Inc. (“Spire”).

The following information is from an interview which Peter Platzer, Chief Executive Officer of Spire, conducted with The Deal on March 1, 2021.

Mr. Platzer told the Deal that his company has been prepping for an IPO for the last 18 months and has been in talks with NavSight for four months, though Spire had talked to several SPACs about doing a deal. He noted that on meeting NavSight principals Bob Coleman and Jack Perlstein last November, “they immediately understood our value proposition and growth potential.” Platzer added that Spire also appreciated their experience not only as public company executives, but also the connections they bring with government customers, which he described as “an important customer group,” since Spire contracts with different government agencies dealing with aviation, weather and space.
